For the I/O error 123 issue, please see this thread and see if it's any help.

About the target bookmark file, yes you should overwrite the existing one if you want to replace the current Opera bookmarks with some other converted set (always back it up first to be safe). If you want to merge the current Opera bookmarks with some other bookmark set, you should use the merge tool though.

I get the same I/O error 123 message when coverting from IE to Netscape and to Opera. No changes done in the setup.
I have too many links to look thorugh them all to find the culprit link - in cyrillic or japanese or whatever.

It is strange, I thought I had caught all the I/O 123 errors now and handled them gracefully, I would really need an URL to an example website that I can bookmark and that contain characters that contain the type of characters that cause this problem, to be able to analyze the problem further.

Please send me such an URL, anyone reading this and knowing which bookmark is the offending one, and I will try to fix it ASAP!
